Welcome to CampReady. These Terms of Use and Service (“Terms”) govern your access to and use of the CampReady website, registration platform, applications, and related services (collectively, the “Services”).

The Services are provided by E&C Resolutions, Inc. (“CampReady,” “Company,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

If you are using CampReady on behalf of a camp, school, recreation program, club, league, nonprofit, business, or other organization (“Organization”), you represent and warrant that you have authority to accept these Terms on behalf of that Organization.

1. ABOUT CAMPREADY

CampReady provides an online platform designed to help camps, clubs, youth programs, recreation organizations, and other event operators manage registrations, participant information, payments, communications, attendance, forms, and related administrative activities.

CampReady is a technology service provider. We do not operate, sponsor, supervise, or control the camps, programs, events, activities, or services offered by Organizations using CampReady.

CampReady is not a camp, childcare provider, medical provider, transportation provider, or activity provider.

Any agreement regarding a camp, program, event, activity, refund, cancellation, schedule, eligibility, supervision, transportation, or other service is between the participant/family and the applicable Organization.

2. WHO MAY USE CAMPREADY

CampReady is intended for use by:

  • Camp and program operators;
  • Administrators, staff, coaches, nurses, and other authorized personnel;
  • Parents and legal guardians;
  • Adult participants; and
  • Other individuals authorized by an Organization.

Individuals under the age of 13 should not independently create accounts or submit personal information through CampReady unless permitted through a process established by the applicable Organization and/or their parent or legal guardian.

Where CampReady is required to comply with the Children's Online Privacy Protection Act (“COPPA”), we will follow applicable legal requirements concerning children's personal information and parental rights.

Parents and guardians are responsible for supervising their children's use of CampReady and for providing any required permissions or consents.

3. ACCOUNT REGISTRATION

Certain Services require an account.

You agree to:

  1. Provide accurate, current, and complete information;
  2. Maintain the accuracy of your information;
  3. Keep your login credentials confidential;
  4. Notify CampReady promptly if you believe your account has been compromised; and
  5. Accept responsibility for activity occurring through your account, except to the extent caused by CampReady's failure to maintain appropriate security.

You may not use another person's account without authorization.

CampReady reserves the right to suspend or terminate accounts that contain materially inaccurate information, violate these Terms, or present a security or legal risk.

4. ORGANIZATION ACCOUNTS AND RESPONSIBILITIES

Organizations using CampReady are responsible for:

  • Configuring their CampReady account appropriately;
  • Creating and maintaining registration forms;
  • Determining what information is requested from participants;
  • Providing appropriate notices and obtaining required permissions or consents;
  • Maintaining accurate program, schedule, capacity, pricing, and policy information;
  • Managing participant eligibility and enrollment;
  • Responding to participant and parent questions;
  • Managing refunds, cancellations, credits, and program-specific policies;
  • Ensuring authorized personnel have appropriate access to participant information;
  • Using participant information only for legitimate program-related purposes; and
  • Complying with applicable federal, state, and local laws.

Organizations are responsible for ensuring that information entered into CampReady is accurate and appropriate for the intended use.

CampReady does not independently verify the accuracy of information supplied by an Organization or participant.

5. FAMILY AND PARTICIPANT RESPONSIBILITIES

Parents, guardians, and participants are responsible for providing accurate and complete information during registration.

This may include information such as:

  • Name and contact information;
  • Emergency contacts;
  • Allergies;
  • Medical or health-related information;
  • Medication information;
  • Accommodation needs;
  • Authorized pickup information;
  • Participant eligibility information; and
  • Other information requested by the Organization.

You agree to promptly update information when it changes.

You understand that providing incomplete, inaccurate, or outdated information may affect an Organization's ability to safely and effectively provide its programs or respond to an emergency.

CampReady is not responsible for consequences resulting from inaccurate, incomplete, outdated, or misleading information provided by a participant, parent, guardian, or Organization.

6. MEDICAL AND EMERGENCY INFORMATION

CampReady may allow Organizations to collect, store, display, export, or otherwise manage medical, allergy, medication, emergency contact, accommodation, or other health-related information.

CampReady provides technology for managing this information but does not provide medical advice, diagnosis, treatment, emergency services, or medical supervision.

CampReady does not determine:

  • Whether information provided by a participant is medically accurate;
  • Whether a participant is fit to participate in an activity;
  • What treatment should be provided;
  • Whether medication should be administered;
  • Whether an emergency exists; or
  • What actions an Organization or its personnel should take in an emergency.

Organizations and their authorized personnel are solely responsible for making appropriate decisions regarding participant safety and medical care.

In an emergency, users should contact appropriate emergency services or qualified medical professionals rather than relying solely on CampReady.

7. REGISTRATION, PAYMENTS, AND REFUNDS

Organizations may use CampReady to collect registration information and facilitate payments.

Unless expressly stated otherwise, CampReady is not the seller or provider of the camp, program, event, or activity being purchased.

The Organization is responsible for establishing:

  • Registration fees;
  • Payment schedules;
  • Refund policies;
  • Cancellation policies;
  • Discounts;
  • Credits;
  • Deposits;
  • Taxes; and
  • Other program-specific charges.

Questions regarding a registration charge, refund, cancellation, credit, or program fee should generally be directed to the Organization responsible for the applicable program.

CampReady may use third-party payment processors to process payments. Payment information may be subject to the terms and privacy policies of those providers.

8. FEES FOR ORGANIZATIONS

CampReady uses a registration-fee model. Authorized billing users see the applicable rate and contract version in CampReady or in a separate written agreement.

Organizations may fund registration fees from proceeds or pass one combined “Platform Fees” line to customers. Taxes and donations do not increase the platform-rate base.

Unless otherwise agreed in writing:

  • Fees are due according to the applicable billing terms;
  • Approved refunds proportionally return funded platform fees and tax, while original processing costs remain incurred.
  • Organizations remain responsible for donation processing, disputes, dispute fees, unrecovered amounts, and applicable taxes. Donations are excluded from ordinary cancellation refunds.

Monetary changes apply prospectively under an accepted contract version or written agreement, never by retroactive repricing.

9. ACCEPTABLE USE

You may use CampReady only for lawful purposes and in accordance with these Terms.

You may not:

  • Use CampReady for unlawful, fraudulent, or abusive purposes;
  • Access another user's account without authorization;
  • Attempt to gain unauthorized access to CampReady systems;
  • Interfere with the operation or security of the Services;
  • Introduce malicious code, viruses, or harmful software;
  • Reverse engineer or attempt to extract source code from the Services, except where prohibited by applicable law;
  • Scrape, crawl, copy, or systematically extract information from CampReady without permission;
  • Use CampReady to send spam or unauthorized communications;
  • Upload content that infringes another person's rights;
  • Impersonate another person or organization;
  • Use CampReady to discriminate against or harass others; or
  • Use information obtained through CampReady for purposes unrelated to the legitimate purpose for which the information was provided.

CampReady may investigate suspected violations and take appropriate action.

10. PARTICIPANT INFORMATION AND DATA

Organizations and participants retain ownership of information and content they submit to CampReady, subject to the rights granted in these Terms and any applicable agreement between CampReady and an Organization.

You grant CampReady a limited right to host, store, process, transmit, display, and otherwise use submitted information as reasonably necessary to provide, maintain, secure, and improve the Services.

CampReady will handle personal information in accordance with its Privacy Policy.

Organizations acknowledge that participant information may belong to or be controlled by the Organization or the applicable participant/family and agree to use CampReady in accordance with applicable privacy and data-protection requirements.

CampReady does not sell participant personal information as a condition of providing the Services.

11. CHILDREN'S PRIVACY

CampReady recognizes the importance of protecting children's information.

Where applicable, CampReady will comply with the requirements of COPPA and other applicable laws governing children's privacy.

Organizations are responsible for determining the appropriate legal basis, permissions, notices, and consents required for the collection and use of participant information through their programs.

Where required, CampReady will support appropriate mechanisms for parental notice, consent, access, correction, or deletion.

Parents and legal guardians may contact CampReady regarding questions about information associated with their child. Depending on the circumstances, CampReady may direct the request to the Organization that collected or controls the information.

12. PRIVACY AND SECURITY

CampReady takes reasonable administrative, technical, and organizational measures designed to protect information maintained through the Services.

However, no internet-based service can guarantee absolute security.

You acknowledge that:

  • Internet transmissions may involve inherent security risks;
  • No system is completely immune from unauthorized access;
  • You are responsible for maintaining the security of your account credentials; and
  • Organizations are responsible for appropriately managing access by their personnel.

If CampReady becomes aware of a security incident requiring notice under applicable law, CampReady will provide notice as required by law and any applicable agreement.

13. THIRD-PARTY SERVICES

CampReady may integrate with or rely upon third-party services, including payment processors, accounting platforms, communication providers, hosting providers, analytics providers, and other technology services.

Third-party services are governed by their own terms and privacy policies.

CampReady is not responsible for the availability, security, accuracy, or performance of third-party services.

If you choose to connect a third-party account to CampReady, you authorize CampReady to exchange information with that service as reasonably necessary to provide the requested integration.

14. COMMUNICATIONS

CampReady and Organizations may use email, text messaging, push notifications, or other communication methods to provide:

  • Registration confirmations;
  • Payment notices;
  • Schedule information;
  • Account notifications;
  • Important service communications;
  • Program-related communications; and
  • Other messages associated with your use of the Services.

You are responsible for maintaining accurate contact information.

Certain transactional or service-related communications may continue even if you opt out of promotional communications.

Organizations are responsible for ensuring that their communications through CampReady comply with applicable laws.

15. INTELLECTUAL PROPERTY

The CampReady Services, including the CampReady name, logos, branding, software, interface, designs, features, documentation, and underlying technology, are owned by or licensed to E&C Resolutions, Inc. and are protected by applicable intellectual property laws.

Except as expressly permitted by these Terms, you may not:

  • Copy CampReady's software or design;
  • Modify or create derivative works of the Services;
  • Sell, sublicense, lease, or distribute the Services;
  • Remove proprietary notices;
  • Use CampReady branding without permission; or
  • Attempt to reproduce or commercially exploit the Services.

CampReady does not claim ownership of content submitted by users or Organizations.

16. USER CONTENT

You may submit information, documents, images, forms, logos, communications, or other content through CampReady (“User Content”).

You retain ownership of your User Content.

You grant CampReady a non-exclusive, worldwide, limited license to use, reproduce, store, transmit, display, and process User Content solely as necessary to provide, maintain, secure, support, and improve the Services.

You represent that you have the necessary rights and permissions to submit the User Content and to grant the rights described above.

CampReady may remove content that violates these Terms, applicable law, or the security or integrity of the Services.

17. SERVICE AVAILABILITY

CampReady will make reasonable efforts to keep the Services available and operational.

However, CampReady does not guarantee that the Services will:

  • Always be available;
  • Be uninterrupted;
  • Be error-free;
  • Be completely secure;
  • Work with every device or browser; or
  • Always preserve access to every feature or integration.

CampReady may temporarily suspend or restrict access for maintenance, upgrades, security concerns, emergencies, legal requirements, or other operational reasons.

18. CHANGES TO THE SERVICES

CampReady may modify, add, or discontinue features from time to time.

We will make reasonable efforts to provide notice of material changes that substantially affect paid Services.

CampReady is not liable for modifications, suspension, or discontinuation of features, except to the extent otherwise required by an applicable written agreement or law.

19. TERMINATION

You may stop using CampReady at any time.

CampReady may suspend or terminate access if:

  • You materially violate these Terms;
  • Your account presents a security or legal risk;
  • You fail to pay amounts when due;
  • Your use of the Services could harm CampReady or another user;
  • Required by law; or
  • The Services are discontinued.

Upon termination, your right to use the Services will end.

Certain provisions of these Terms will survive termination, including provisions concerning intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and other provisions that by their nature should survive.

20. DATA EXPORT AND RETENTION

Organizations should maintain appropriate copies of information necessary for their own records and operations.

CampReady may provide data export functionality depending on the applicable plan or Service.

Following termination, CampReady may retain or delete information according to its data-retention practices, applicable law, and any applicable agreement with the Organization.

CampReady may retain information when reasonably necessary to comply with legal obligations, resolve disputes, prevent fraud or abuse, enforce agreements, or protect the security of the Services.

21. DISCLAIMERS

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

CAMPREADY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

CAMPREADY DOES NOT WARRANT THAT THE SERVICES WILL MEET EVERY USER'S REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, OR BE COMPLETELY ERROR-FREE OR SECURE.

CAMPREADY DOES NOT GUARANTEE THE QUALITY, SAFETY, LEGALITY, ACCURACY, OR PERFORMANCE OF ANY CAMP, PROGRAM, ORGANIZATION, PARTICIPANT, STAFF MEMBER, ACTIVITY, OR SERVICE MADE AVAILABLE THROUGH CAMPREADY.

22. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, E&C RESOLUTIONS, INC., CAMPREADY, AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF CAMPREADY ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  1. THE AMOUNT YOU PAID TO CAMPREADY FOR THE SERVICES DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
  2. ONE HUNDRED U.S. DOLLARS ($100).

These limitations apply regardless of the legal theory on which the claim is based.

Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited under applicable law.

23. INDEMNIFICATION

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless E&C Resolutions, Inc., CampReady, and its officers, directors, employees, contractors, affiliates, and service providers from claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • Your violation of these Terms;
  • Your misuse of the Services;
  • Your User Content;
  • Your violation of another person's rights;
  • Your violation of applicable law; or
  • If you are an Organization, your programs, activities, staff, participants, or services.

CampReady reserves the right to assume exclusive control of the defense of any matter subject to indemnification.

24. DISPUTE RESOLUTION

Before filing a legal claim, the parties agree to make a good-faith effort to resolve the dispute informally.

A party seeking to raise a dispute should provide written notice describing the issue and requested resolution.

If the dispute cannot be resolved informally, the dispute will be handled in accordance with applicable federal and state law and in the courts described in the Governing Law section below, unless otherwise required by applicable law.

25. GOVERNING LAW

These Terms will be governed by the laws of the United States and the laws of the State of Ohio, without regard to conflict-of-law principles.

Any permitted legal action arising from these Terms or the Services will be brought in the applicable federal or state courts located in Ohio, unless applicable law requires otherwise.

26. CHANGES TO THESE TERMS

CampReady may update these Terms from time to time.

When we make material changes, we may provide notice through the Services, by email, or by posting an updated version with a new effective date.

Your continued use of CampReady after the effective date of updated Terms constitutes acceptance of the revised Terms, to the extent permitted by law.

27. ELECTRONIC COMMUNICATIONS

By using CampReady, you consent to receive electronic communications relating to your account, registrations, transactions, security, and use of the Services.

You agree that electronic notices, agreements, disclosures, and communications satisfy any legal requirement that such communications be provided in writing, except where applicable law requires another form.

28. FORCE MAJEURE

CampReady will not be responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, severe weather, acts of government, war, terrorism, labor disputes, widespread internet or telecommunications failures, cyberattacks, infrastructure failures, or other events beyond reasonable control.

29. SEVERABILITY

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

30. NO WAIVER

CampReady's failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it later.

31. ENTIRE AGREEMENT

These Terms, together with the CampReady Privacy Policy and any applicable written agreement, order form, fee agreement, or other agreement between CampReady and an Organization, constitute the agreement governing your use of the applicable Services.

If there is a conflict between these Terms and a separate written agreement signed by CampReady and an Organization, the signed agreement will control to the extent of the conflict.

32. ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms without CampReady's prior written consent.

CampReady may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or similar transaction.

ACKNOWLEDGMENT

By creating an account, registering for a program, accessing the CampReady platform, or otherwise using the Services, you acknowledge that you have read, understood, and agree to these Terms of Use and Service.

If you are accepting these Terms on behalf of an Organization, you represent that you have authority to bind that Organization to these Terms.
